Please read these Terms and Conditions (“Terms”) carefully before using Kyline Consulting LLC’s services. By engaging our estimate, contracting, installation, or management services, you agree to be bound by these Terms.
1.1 Scope of Services. Kyline Consulting LLC (“we,” “us,” “our”) provides siding, windows, decks, roofing, fencing, remodeling, project-management, and related contracting services as agreed in a written proposal.
1.2 Estimates. All estimates are free and non-binding. Estimates expire 30 days from issuance unless otherwise noted. Any materials or labor costs that change after estimate acceptance may result in an adjusted final price.
2.1 Deposit. A deposit of 30% is due upon contract signing to secure materials and scheduling.
2.2 Progress Payments. Unless otherwise agreed, progress payments are due at pre-defined milestones (e.g., 50% at mid-project). Your project manager will provide invoices aligned with the project schedule.
2.3 Final Payment. Final payment is due upon project completion and your written acceptance of the work. We reserve the right to withhold lien releases until full payment is received.
2.4 Late Payments. Unpaid invoices past 15 days will accrue interest at 1.5% per month. We may suspend work on accounts over 30 days past due.
3.1 Permits. Unless expressly excluded, we will obtain all required building permits and inspections. Permit fees are the client’s responsibility and billed as a reimbursable expense.
3.2 Codes & Standards. All work will comply with applicable Ohio building codes, zoning ordinances, and industry standards.
4.1 Workmanship Warranty. We warrant our labor for a period of 2 years from completion against defects in workmanship.
4.2 Manufacturer Warranties. Materials carry the manufacturer’s warranty; terms vary by product. We will facilitate warranty claims but are not liable for manufacturer defects.
4.3 Limitation of Liability. Except for gross negligence or willful misconduct, our liability for any claim related to our services is limited to the total amount paid by you under the contract. We are not liable for indirect, incidental, or consequential damages.
5.1 Change Orders. Any scope changes requested after contract signing must be documented in a written change order, including cost and schedule impacts. Work on change orders will not commence until approved in writing.
5.2 Cancellation. You may cancel the project within 3 business days of signing for a full refund of any deposit. Cancellations after that period forfeit the deposit and may incur additional fees for materials procured or work performed.
6.1 Insurance. We maintain general liability and workers’ compensation insurance as required by Ohio law. Certificates of insurance are available upon request.
6.2 Indemnification. You agree to indemnify and hold Kyline Consulting LLC harmless from any third-party claims arising from your negligence, site conditions, or acts beyond our control.
All design documents, drawings, and specifications produced by Kyline Consulting LLC remain our intellectual property unless otherwise agreed. Upon full payment, you are granted a non-exclusive license to use these materials solely for completion and maintenance of your project.
These Terms are governed by the laws of the State of Ohio. Any dispute arising under or related to these Terms shall be resolved first by good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Franklin County, Ohio, under the rules of the American Arbitration Association.
We reserve the right to update these Terms at any time. Revised Terms will be posted on our website and become effective upon posting. Your continued use of our services after changes constitute acceptance of the revised Terms.
